Introductory Language

BY ACCESSING OR USING SYNTHEIA'S SUPER COMPARER, YOU AGREE TO THESE TERMS.Read these terms carefully as they create a legally binding agreement between you and Syntheia.Syntheia has adopted an industry-standard terms of service for our Super Comparer SaaS product.By accessing or using the Super Comparer (“Cloud Service”), you (“you” or “Customer”) agree to this Agreement with (a) Syntheia (US) LLC, in the case you are located in the United States, or (b) Syntheia Pty Ltd, in the case you are located outside the United States, (each “Syntheia” or “Provider”) which consists of the Bonterms Standard Online Cloud Terms (Version 1.0) (“Standard Terms”) as modified and supplemented by the Provider-Specific Terms (each as set forth below).Capitalized terms not defined herein are defined in the Standard Terms. This Agreement is referred to as the “Super Comparer Agreement”.

Additional Terms

The following additions to or modifications of the Standard Terms are incorporated into this Agreement:

  1. Section 2.1 (Permitted Use) is hereby amended by replacing the first sentence with "Subject to this Agreement, Customer may use the Cloud Service solely for its own internal business purposes in the ordinary course of its business and in accordance with its Subscription (“Permitted Use”)."

  2. Section 2.2 (Users) is hereby deleted in its entirety and replaced with "Unless otherwise agreed in writing by Provider, each User must register for and maintains a separate account. Each User account is personal to the individual to whom it is assigned and may not be shared, sublicensed, or used by any other individual. Customer is responsible for provisioning and managing its User accounts, for the actions of its Users in connection with the Cloud Service, and for ensuring their compliance with this Agreement. Customer will ensure that all Users keep their login credentials secure and confidential, and will promptly notify Provider upon becoming aware of any unauthorized access to or use of any User account."

  3. Section 6.3 (Disclaimers) is amended by adding the following to the end of the section, “Provider has no responsibility for the quality of any output of the Cloud Service, including as to its completeness or accuracy. Use any output from the Cloud Service at your own risk."

  4. Section 19.2 (Governing Law and Courts) is amended to state that the Governing Law is the laws of the State of New York and the Courts are the federal and state courts located in New York, New York.

  6. Notwithstanding any other provision of this Agreement, a Customer's or a User's use of the Cloud Service must be reasonable, proportionate, and consistent with the normal operational needs of a typical customer in the ordinary course of business ("Fair Use"). If Customer or any User exceeds what Provider, in its reasonable discretion, considers to be Fair Use, whether in terms of volume, frequency, system resource consumption, automated or programmatic access, or other usage patterns inconsistent with the intended ordinary course use, Provider may take any of the following actions with or without notice: (i) temporarily restrict or throttle access to the Cloud Service; (ii) require Customer to upgrade to a higher usage plan; (iii) impose additional fees; or (iv) suspend or terminate Customer’s or User’s access to the Cloud Service. Customer agrees not to use the Cloud Service for high-volume automated processing, resale, or any use inconsistent with ordinary business operations, unless expressly permitted in writing by Provider.
